Rome, Pallotta detects the share of UniCredit – Tuttosport

The total amount of the transaction is 33 million euro: the bank had 31%

ROME – UniCredit sold AS Rome spv, the vehicle controlled by James Pallotta, 31% owned holding in Neep, the parent company AS Rome in exchange for 33 million euro.

NOTE – This is the financial statement of the Giallorossi: “UniCredit SpA, AS Roma SPV, LLC, and Raptor Holdco LLC, a company belonging to the same group to which it belongs AS Roma SPV, LLC, inform that today signed a contract for the sale of shares (“Share Purchase Agreement”) in accordance with which UniCredit SpA sold to AS Roma SPV, LLC, the entire shareholding held in the NEEP Roma Holding SpA (Parent company AS Roma SpA) for a consideration of € 33 million, paid in full at the time of signing the agreement. As a result of this sale, AS Roma SPV, LLC has increased its shareholding in NEEP Roma Holding SpA, directly and indirectly through Raptor Holdco LLC, 100% of the share capital of NEEP Roma Holding SpA At the same time, UniCredit SpA, AS Roma SPV, LLC and Raptor Holdco LLC have completed the shareholders’ agreement relating to NEEP Roma Holding SpA signed on 18 August 2011 and subsequently amended and supplemented (including by joining the pact Raptor Holdco LLC) on August 1, 2013. “
